What a Dutch BV is, and what incorporation involves

A BV (besloten vennootschap) is the Dutch private limited company — a separate legal person with limited liability, owned through shares. It is the standard vehicle for founders who want to separate business risk from personal assets, bring in shareholders, or build a holding structure. A BV comes into existence only through a notarial deed of incorporation (oprichtingsakte) executed by a Dutch civil-law notary (notaris). We are not the notary and never perform the notarial act — we prepare everything, coordinate the notary, and handle the KVK and Belastingdienst steps around it.

Since 1 January 2024 the deed can be executed fully online, and a foreign or busy founder can grant a power of attorney (volmacht) so the notary incorporates on their behalf. That is what makes a 100% remote BV possible.

Notary fees are market pricing, not an official tariff, and vary with complexity (single vs multiple shareholders, holding structure). The KVK figure is the one-off registration cost; there is no annual KVK fee. Updated: 2026-07-28.

How a BV is taxed (2026)

A BV pays corporate income tax on its profit; the director-shareholder (DGA) draws a salary and can take dividends. The headline figures below are set by the Belastingdienst.

Opening a Dutch BV — FAQ

How long does it take to open a Dutch BV?

Once your details are ready, document preparation takes 1–2 days and the notarial deed plus KVK registration typically completes within 3–7 working days. Your BTW number usually follows shortly after registration.

Can the whole process be done online?

Yes. Since 1 January 2024 a BV can be incorporated fully digitally, and we can act on your behalf via a power of attorney (volmacht). You sign online — no visit to the Netherlands is required.

What is the minimum share capital for a BV?

Since the 2012 Flex-BV reform the legal minimum is just €0.01. In practice founders often set €1–€100. There is no €18,000 requirement.

What does it cost to open a BV?

A fixed service fee, quoted upfront, plus third-party costs at cost: the notary deed (typically €400–€1,500) and the one-off KVK registration of €82.25. See pricing.

Do I need to be a Dutch resident?

No. There is no residency requirement to own or direct a Dutch BV. Non-resident founders have a slightly different identity/onboarding path — see Dutch BV for non-residents.

Yes. A BV files BTW returns, annual accounts and corporate income tax (Vpb). Most clients add monthly English bookkeeping so the company is compliant from day one.
