A volmacht lets the notary incorporate without you leaving Germany. Signed online or legalised locally.

2. Online notarial deed

Since 2024 a Dutch civil-law notary can execute the deed of incorporation fully online. We are not the notary — we prepare everything and coordinate it.

3. Documents & KYC

Within the EU, many documents pass without an apostille and public documents use EU multilingual forms. We confirm what the notary needs for Wwft checks.

4. Registered office

Your BV needs a Dutch registered address for the KVK — we can arrange one for non-resident founders.

5. KVK → RSIN

We register the BV in the Handelsregister at the KVK, giving you a KVK number and RSIN.

6. BTW & bank account

We arrange your BTW number and guide you toward banks that onboard non-resident-owned BVs.

Dutch BV vs German GmbH, at a high level

Both the Dutch BV (besloten vennootschap) and the German GmbH are EU private limited companies with limited liability and a notarial incorporation. At a high level, the practical differences German founders notice most are capital and process: the BV has a symbolic €0.01 minimum share capital under the 2012 Flex-BV reform, while a GmbH requires €25,000 (half paid up at incorporation), and the BV can be incorporated fully online since 2024 via a power of attorney. Which vehicle fits depends on where you actually trade, employ people and hold assets — a question we talk through at intake rather than assuming a BV is always the answer.

A Dutch BV is a separate legal person; it comes into existence only through a notarial deed of incorporation executed by a Dutch civil-law notary (notaris). Do I need to travel to the Netherlands from Germany?

No. Since 1 January 2024 the notarial deed can be executed online, and we incorporate on your behalf via a power of attorney (volmacht). You sign digitally — no visit to the Netherlands is required.

Why open a Dutch BV rather than a German GmbH?

Both are EU limited companies. The Dutch BV has a €0.01 minimum share capital (versus the GmbH's €25,000), a fully online incorporation since 2024, and gives you a Dutch base for the neighbouring market. Which fits depends on where you trade and operate — we talk it through at intake.

Do I need documents legalised or apostilled?
