How it works from the USA
1. Power of attorney
A volmacht lets the notary incorporate without you leaving the US. Signed online or legalised locally.
2. Online notarial deed
Since 2024 a Dutch civil-law notary can execute the deed of incorporation fully online. We are not the notary — we prepare everything and coordinate it.
3. Apostille on US documents
The US is a Hague Convention country, so US public documents are legalised with an apostille (state or federal) — we tell you what's needed and coordinate it.
4. Registered office
Your BV needs a Dutch registered address for the KVK — we can arrange one for non-resident founders.
5. KVK → RSIN
We register the BV in the Handelsregister at the KVK, giving you a KVK number and RSIN — separate from your US EIN.
6. BTW & bank account
We arrange your BTW number and guide you toward banks that onboard non-resident-owned BVs.
The remote process, and the numbers
A Dutch BV (besloten vennootschap) is the Dutch private limited company — a separate legal person with limited liability. It comes into existence only through a notarial deed of incorporation executed by a Dutch civil-law notary (notaris). We are an independent formation and bookkeeping office; we prepare the articles, UBO and KYC file, and a power of attorney (volmacht), then coordinate the notary and handle the KVK and Belastingdienst steps. Since 1 January 2024 the deed can be signed fully online, which is what makes a 100% remote BV possible from the US.
RSIN vs EIN — two separate systems
A common question from US founders is how the Dutch numbers map to a US EIN. They do not overlap: your EIN is the US federal identifier for your US entity with the IRS, while a Dutch BV receives an RSIN (legal-entity identification number) from the KVK and a separate BTW (VAT) number from the Belastingdienst for EU invoicing. Opening a Dutch BV is establishing a new EU entity with its own Dutch identifiers; it does not replace or alter your US filings. How the two entities interact for US tax purposes is a question for your US adviser.

Do I need to travel to the Netherlands from the US?
Usually not. Since 1 January 2024 the notarial deed can be executed online, and we incorporate on your behalf via a power of attorney (volmacht). Some bank or identity checks may still request a video step depending on your profile.
Why open a Dutch BV as a US company or founder?
A Dutch BV gives you an EU-incorporated legal entity — an on-the-ground presence inside the EU single market for European customers, contracts, EU VAT and hiring, rather than serving Europe from a US-only entity.
How is a Dutch RSIN different from a US EIN?
They are separate systems. Your US EIN identifies your US entity to the IRS; a Dutch BV gets a Dutch RSIN (legal-entity number) from the KVK and a BTW (VAT) number from the Belastingdienst. Opening a BV does not change your US filings.
Do I need to legalise my US documents with an apostille?
Usually yes. The US is a party to the Hague Apostille Convention, so US public documents are legalised with an apostille (issued at state or federal level). We tell you which documents need one and coordinate it.
